Shareholder Meetings

Your Rights as a Shareholder

As an ordinary shareholder of RSA you are entitled to vote on some of the major decisions of the Company, typically made at Annual General Meetings (AGMs) or, from time to time, Extraordinary General Meetings (EGMs).

The AGM is one of the main shareholder events in the year.  At this meeting, the Company’s performance over the previous year is reviewed and shareholders have the opportunity to ask the directors questions relating to items on the meeting’s agenda and to vote on key issues.

EGMs are convened to cover specific items which are outside the nature of the routine business considered at AGMs or which need to be decided at a time when no AGM is due to be held.  Should it be necessary to hold a meeting, shareholders will be given at least 14 days’ notice.

As a shareholder, you will receive information from us such as the Annual Report and Accounts, and other information relating to significant changes in the business of the Company.

Online Voting

Shareholders can appoint one or more proxies and register their voting instruction electronically for General Meetings (including the AGM) of the Company.

Electronic voting is cost effective and, over time, lowers the impact on the environment because less printed material is needed.  It allows shareholders to register their voting instruction online through Equiniti’s website www.sharevote.co.uk.  To vote online will only take a few minutes and is more secure than voting by post.

If you plan to attend the meeting, the submission of an online vote will not prevent you attending and voting at the meeting.

To vote online you will need the following:

  • If you are using the information on the Form of Proxy sent to you in the post:
    • Reference number;
    • Card ID; and
    • Account Number.

OR

  • If you are registered with Shareview:
    • Access number (or User ID); and
    • Password.

Then click on ‘Company Meetings’ and follow the online instructions.
